Investment in our EIS Fund is it is intended only for
investors who fall within Articles 19, 48, 49 and 50 of the Financial Services and
Markets Act 2000 (Financial Promotion) Order 2001. In agreeing to supply, and so supplying,
this Memorandum prospective investors represent to Livewire Capital that they are a company or
person who falls within Articles 19, 48, 49 and 50 of the Financial Services and Markets Act 2000 (
Financial Promotion) Order 2001. If an investor has been advised by an authorised intermediary,
who is able to advise on EIS investments and who completes Section 4 of the Application Form,
an investor will be treated as having satisfied the above criteria.
Potential investors of any other description are not eligable to invest in this fund.
The past performance of investments managed
by the Manager should not be regarded as an indication of the future performance
of investments made by the Fund. The value of an investment may go down as well
as up, in which case an investor may not get back the amount invested. EIS investments
often invest in unquoted companies requiring venture capital and which are commonly
experiencing significant change and therefore carry higher risk than would an investment
in larger or longer established businesses.

governing EIS investments are subject to change. Prospective investors in
EIS funds managed by Livewire Investment should ensure that they read the
risk warnings set out in the relevant prospectus or memorandum.
